These terms ensure that all parties involved work together smoothly, protecting the interests of our customers, drivers, and the company.

1. Definitions

  • Company: Refers to Pristine Transport Inc., headquartered at 4297 Santa Ana Ave, Clovis, CA 93619.
  • Customer/Client/You: Refers to any individual or entity contracting for transportation, freight, or logistics services provided by Pristine Transport Inc.
  • Services: Refers to transportation, freight management, and logistics solutions offered by Pristine Transport Inc., including but not limited to long-haul, regional, and local trucking services.
  • Carrier: Refers to Pristine Transport Inc. as the authorized provider of transportation services.
  • Driver: Refers to any employee or independent contractor operating vehicles on behalf of Pristine Transport Inc. All drivers are required to comply with company policies, safety regulations, and applicable Department of Transportation (DOT) laws.
  • Shipper/Receiver/Consignee: Refers to the party arranging for the transportation of goods and/or the recipient of the goods being delivered.

2. Scope of Services

Freight and Transportation:

  • We specialize in providing long-haul, regional, and local trucking services with a strong focus on safety, timeliness, and reliability.
  • Our commitment is to ensure that every shipment is handled with the highest standards of care and professionalism.

Fleet Technology:

  • Our fleet is equipped with real-time GPS tracking, fuel monitoring, driver performance analytics, and remote diagnostics to ensure operational efficiency and transparency.

Safety Standards:

  • We adhere to all DOT regulations and industry safety standards, including the use of electronic logging devices (ELDs), dual-facing cameras, and fatigue monitoring systems to ensure the safety of drivers, cargo, and equipment.

3. Booking and Service Terms

Service Requests:

  • All service requests must be submitted through authorized communication channels and confirmed by our dispatch team prior to scheduling.
  • We strive to accommodate all requests, but scheduling may be subject to equipment availability, capacity, and operational constraints.

Cancellations:

  • We kindly ask that cancellations be communicated in writing at least 24 hours before the scheduled pickup time to avoid cancellation fees.

4. Driver Responsibilities and Conduct

Safe and Lawful Operation:

  • Our drivers are highly trained and committed to complying with all federal, state, and local laws, as well as Pristine Transport Inc.’s internal policies.
  • Drivers accept full responsibility for operating vehicles safely and lawfully, ensuring the protection of the cargo and the public.

Equipment and Cargo Inspection:

  • Drivers are required to conduct thorough pre-trip and post-trip inspections of the tractor, trailer, and cargo to ensure that all equipment is in optimal condition.
  • Any mechanical issues, load discrepancies, or safety concerns must be reported immediately to dispatch.

Assigned Duty and Compliance:

  • Drivers are expected to perform their assigned duties diligently and follow all company procedures, including any special rules or requirements related to specific types of loads.

Abandonment Policy:

  • Drivers are not permitted to abandon company equipment (tractor, trailer, or cargo) without express authorization from fleet administration. Unauthorized abandonment may result in disciplinary action and financial liability.

5. Customer Responsibilities

Accurate Information and Compliance:

  • Customers are responsible for providing complete and accurate shipment information, including dimensions, weight, handling requirements, and temperature settings for perishable goods.
  • All shipments must comply with applicable federal, state, and local regulations, including hazardous materials requirements, if applicable.

Loading and Unloading Responsibility:

  • The shipper and the receiver share responsibility for ensuring that cargo is carefully and correctly loaded and unloaded using appropriate equipment, such as forklifts and pallet jacks.
  • Any damages caused to the trailer, box truck, or cargo during loading/unloading due to improper handling or negligence will be the responsibility of the customer.

Liability for Trailer and Box Truck Damages:

  • If damage occurs to the trailer or box truck due to improper use of equipment during loading or unloading, the customer will be liable for the repair costs.
  • Types of Potential Damages Include (but are not limited to):
  • Air chute damage in refrigerated trailers.
  • Cracks, punctures, or breaks in trailer walls.
  • Ceiling damage caused by mishandling equipment.
  • Floor damage from overloading or improper pallet placement.

6. Payment and Invoicing

Payment Terms:

  • All payments are due according to the terms specified in the service agreement or invoice. Standard payment terms are [insert payment terms, e.g., Net 15 or Net 30].

Late Payment Policy:

  • Payments not received within the agreed-upon timeframe will incur a 3% late fee if delayed by 1 week past the due date.
  • An additional 1.25% late fee will be applied for each subsequent week of non-payment.
  • If the payment remains unpaid for 90 days, Pristine Transport Inc. reserves the right to take legal action to recover the outstanding balance, with all associated expenses borne by the defaulter.

Legal Action and Recovery:

  • After 90 days of non-payment, all expenses related to legal fees, collection efforts, court costs, and any hardships incurred by Pristine Transport Inc. will be the responsibility of the defaulter.

7. Liability and Cargo Claims

Cargo Liability:

  • Our liability for cargo loss or damage is limited under the Carmack Amendment (49 U.S.C. § 14706), unless a higher declared value is agreed to in writing prior to transport.

Shipper and Receiver Responsibility for Loading and Unloading:

  • Proper handling during loading and unloading is essential. The shipper and receiver are responsible for ensuring that cargo is loaded and unloaded with care to avoid damage to both the cargo and the equipment.

Liability for Equipment Damage:

  • Any damages caused to the trailer, box truck, or cargo by forklifts, pallet jacks, or other equipment operated by the shipper, receiver, or their personnel will be the responsibility of the customer.

Claims Process:

  • All cargo claims must be submitted in writing within 60 days of delivery. Claims submitted after this period may be denied.

8. Service Delays and Force Majeure

Force Majeure:

  • Pristine Transport Inc. shall not be held liable for delays or service failures caused by unforeseen events beyond our control, including natural disasters, labor strikes, pandemics, equipment malfunctions, or government actions.

Operational Delays:

  • While we strive to maintain schedules, unforeseen circumstances such as traffic, weather, and equipment issues may occasionally result in delays.

9. Termination of Services

Breach of Terms:

  • Pristine Transport Inc. reserves the right to terminate services immediately if a customer violates these Terms and Conditions, including failure to make timely payments or failure to comply with loading/unloading protocols.

Non-Payment Termination:

  • Failure to remit payment within 90 days may result in immediate suspension of services and the initiation of legal proceedings to recover outstanding amounts.

10. Disciplinary Action for Non-Compliance

Tampering with Safety Equipment:

  • Tampering with, disabling, or bypassing any safety equipment or monitoring systems installed in company vehicles is strictly prohibited and may result in fines, suspension, or termination.

Failure to Fulfill Duties:

  • Failure to perform required inspections, report safety concerns, or follow assigned duties may result in disciplinary action.

Abandonment of Equipment:

  • Abandoning equipment without authorization from fleet administration may result in termination and financial responsibility for any associated damages.

11. Dispute Resolution and Jurisdiction

Governing Law:

  • These Terms and Conditions are governed by the laws of the State of California.

Dispute Resolution:

  • Any disputes arising under these terms will be resolved through arbitration in Fresno County, California, before pursuing litigation.

Legal Fees and Costs:

  • In the event of legal action, the prevailing party is entitled to recover reasonable attorney’s fees and costs.

12. Amendments and Modifications

Right to Modify:

  • Pristine Transport Inc. reserves the right to update or modify these Terms and Conditions at any time without prior notice.
  • Any changes will be posted on our website and take effect immediately upon posting.

13. Confidentiality and Data Protection

Confidential Information:

  • All sensitive information exchanged between parties will be treated as confidential and used solely for the purpose of executing transportation services.

Data Usage:

  • Customer data is used exclusively to improve service quality and will not be shared with third parties except as required by law.
